Jingle in the Jungle Fashion Show

This Vendor Agreement is made and entered into between Lee Blue by Toi, the Organizer, and the undersigned vendor for participation in the Jingle in the Jungle Fashion Show.

Booth, Placement & Display Standards

  • Electricity may be available upon advance request.
  • Organizer reserves the right to assign booth locations at its sole discretion to ensure optimal layout, guest flow, and safety.
  • All displays must be professional, safe, and visually appealing.
  • Displays must comply with venue rules and applicable building or fire codes.

Prohibited Items & Professional Conduct

  • Vendors may not sell alcohol, illegal drugs, firearms, or any controlled or banned items. Weapons of any kind are strictly prohibited on the premises.
  • Vendors must conduct themselves in a professional, respectful, and courteous manner that aligns with the brand and image of Lee Blue by Toi.
  • Each vendor is permitted one guest.
  • Both the vendor and their guest must dress appropriately and in keeping with the event's fashion show theme.
  • Any behavior deemed inappropriate, unsafe, or disruptive may result in immediate removal from the event without refund.
  • Vendors must follow all venue policies, local ordinances, fire codes, and health and safety regulations, as well as instructions issued by Organizer staff.

Risk, Liability & Indemnification

  • Vendor assumes full responsibility for its property, staff, merchandise, and operations at all times.
  • Organizer, Venue, and staff of Lee Blue by Toi shall not be held responsible for theft, damage, loss, or personal injury.
  • To the fullest extent permitted by law, Vendor agrees to defend, indemnify, and hold harmless the Organizer, the Venue, and their owners, officers, employees, and agents from claims, damages, losses, or expenses arising from or related to Vendor participation, negligence, or breach of this Agreement.
  • In the event of an emergency, EMS may be summoned. Vendor acknowledges responsibility for medical, legal, or other costs resulting from injuries or incidents involving the Vendor, its staff, or guests.

Fees, Payments & Refunds

Vendor Fee FEE – TO BE CONFIRMED per booth. Non-refundable once the application is accepted, unless the event is cancelled by the Organizer.

Payment Due Payment is due immediately upon approval of the application. Failure to remit payment may result in forfeiture of space.

Payment Method PAYMENT METHOD – TO BE CONFIRMED

Refund Policy No refunds will be issued for vendor cancellations made within 30 days prior to the event date.

Permits, Licenses & Taxes

Vendors are solely responsible for obtaining all necessary permits or licenses, including business, food handling, or vendor permits, and for collecting, reporting, and remitting all applicable sales taxes.

The Organizer assumes no responsibility for Vendor compliance with federal, state, or local requirements.

Load-In / Load-Out & Operations

  • Vendors must follow all posted and assigned loading/unloading instructions.
  • Vendors may not block fire lanes, exits, or emergency access areas.
  • Vendors must maintain a clean and orderly booth at all times.
  • All trash and materials must be removed before departure.
  • Failure to maintain the booth or remove materials may result in a cleaning or damage fee.
  • Only venue-approved extension cords and power strips may be used.
  • Sound or music-producing equipment is strictly prohibited.
  • Booth operations must remain quiet and non-disruptive to vendors and attendees.

Marketing, Media & Promotional Use

By participating in this event, Vendor grants the Organizer the irrevocable right to photograph, film, or record the Vendor's likeness, booth, or products for promotional and marketing purposes.

Vendor waives any right to royalties or compensation related to the use of such materials.

Event Changes & Force Majeure

The Organizer reserves the right to modify schedules, layouts, booth assignments, or programming as needed.

If the event is cancelled for any reason beyond the Organizer's control, including acts of God, natural disasters, government actions, pandemics, or labor disputes, the Organizer's sole obligation shall be a refund of Vendor fees paid.

The Organizer shall not be liable for consequential or indirect damages such as travel, lodging, or material costs.

Default & Removal

The Organizer reserves the right to immediately remove any Vendor who violates this Agreement, behaves unprofessionally, or sells prohibited items.

No refunds will be issued in such cases.

Governing Law, Venue & Dispute Resolution

This Agreement shall be governed and construed under the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal action arising under this Agreement shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.

The Parties consent to such jurisdiction and waive any objection to venue or inconvenient forum.

If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.

Pursuant to Florida Statute Chapter 685, the Parties acknowledge that Florida law governs this contract, even if certain obligations extend beyond the state.

Entire Agreement & Amendments

This Agreement represents the entire understanding between the Parties regarding Vendor participation in the Jingle in the Jungle Fashion Show.

Any changes, amendments, or modifications must be made in writing and signed by both Parties.

By completing and submitting the form below with your typed full legal name, date, and checked agreement box, you are providing your digital signature and legally agreeing to the terms of this Agreement.
